Head of Legal (Pharmaceutical Industry)

1. Strategic Legal Advisory

• Act as a trusted advisor to the CEO and Board of Directors on legal and regulatory matters.

• Provide strategic legal input for major business decisions, investment projects, and partnerships.

• Ensure all business activities comply with Vietnamese laws and relevant international regulations in the pharmaceutical and healthcare industry.

2. Commercial Transactions & Contract Management

• Lead and oversee the drafting, negotiation, and execution of key commercial agreements, including distribution, manufacturing, licensing, R&D collaboration, and supply contracts.

• Advise business units on transaction structures, risk allocation, and compliance with pharmaceutical regulations.

• Identify and mitigate potential legal risks in complex business deals, mergers, and strategic partnerships.

• Support cross-border transactions and collaborations with international partners, ensuring compliance with foreign trade and IP laws.

3. Legal Compliance & Regulatory Affairs

• Ensure compliance with laws and regulations governing pharmaceuticals, advertising, product registration, competition, and consumer protection.

• Liaise with the Ministry of Health (MOH), Drug Administration of Vietnam (DAV), and other relevant authorities on regulatory and compliance matters.

• Establish and maintain a robust internal compliance framework, including policies on data protection, anti-bribery, and business ethics.

• Conduct internal training to promote legal awareness and compliance culture across departments.

4. Risk Management & Dispute Resolution

• Proactively assess, monitor, and mitigate legal risks that may impact the company’s operations or reputation.

• Oversee the management of disputes, claims, and litigation, including coordination with external law firms when necessary.

• Develop strategies for dispute avoidance and early conflict resolution.

• Bachelor's degree in Business Law, Commercial Law, or Pharmaceutical industry is big advantage.

• 8+ years of legal management experience, ideally within listed companies or IPO environments.

• Strong knowledge in business, commercial, and labor law frameworks.

• Proven ability to draft, negotiate, and manage complex contracts.

• Fluent in English (reading legal documents, drafting, and negotiation).

• Strategic mindset with outstanding leadership skills.

• Strong interpersonal, negotiation, and risk analysis abilities.
