Head of Legal, Vietnam

This role will have primary responsibility for providing legal services to BIDV MetLife by providing legal advice, promoting professional and legal standards, and supporting business objectives.

Principal Responsibilities:

1. Act as in-house counsel to provide legal advice on business activities

• Conduct legal review/ negotiations of commercial and customer agreements

• Develop and review legal documentation including terms for existing/new products & services to ensure compliance with law

• Prepare, monitor and update legal documentation and statutory returns to regulators

• Provide regular reports to Regional Legal and Home Office

• Assist in regional and global projects

• Act as expert advisor on all legal and contractual issues

• Handle litigation including design of defence and strategy

• Represent BIDV MetLife in discussions held by Regulators and/or Industry Associations on changes to laws

2. Lead the Vietnam legal department to ensure a high standard of legal services:

• Deliver services with business acumen and in a customer-centric manner

• Continuously review and update policies and procedures to ensure adherence to legal and regulatory requirements and to ensure operational efficiency

• Continuously assess the operational risks and recommend appropriate remedial actions

• Examine developments in laws/regulations in order to identify opportunities for business growth, and guide the business on how to explore such opportunities in a compliant manner that upholds our reputation

• Coaching and developing legal team members to ensure a sustainable Legal function

3. Ensure that all operations and activities undertaken comply with legal & regulatory requirements including:

• Proactively identify legal risks that may arise in terms of contractual liabilities and legal obligations, and recommend business actions to mitigate such risks

• Identifying upcoming changes to applicable laws, support relevant stakeholders to assess its impact and implement necessary changes.

4. Provide support to the Board Secretary on board matters

Knowledge/Skills/Competencies Required:

(Include education, skills, competencies and years of experience.)

• Be a qualified lawyer with at least 10 years of legal experience. In-house legal counsel experience in financial institutions is preferable but not essential

• Be familiar with local regulations and practices, and possess broad-based knowledge of the regulatory requirements of the financial industry

• A strong ownership mindset by taking responsibility to ensure that business outcomes are reached in a proactive, efficient and responsible manner.

• Ability to work under pressure and to balance competing interests

• Possess the ability to apply a strategic and commercial approach to providing professional legal advice in simple and logical terms

• Possess strong verbal and written communication skills in both English and Vietnamese – must be able to communicate effectively both internally with all levels of management, MetLife executives and JV partner, and externally with regulators

• Has courageous leadership - able to lead, inspire and develop the team

• Possess excellent interpersonal skills by building collaborative relationships with other stakeholders in order to reach solutions for the business

• Possess excellent judgment and decision-making skills – able to make business-aligned and timely decisions
