Legal Associate

An exciting opportunity exists for a mid-career lawyer, qualified in Vietnam. The successful candidate will support our team on advising international and local clients on a broad range of corporate and commercial transactions. Familiarity of work with typical cross-border transaction documentation, including SPAs, SHAs, Loan Agreements (including those following APLMA/LMA forms) is required.

Job responsibilities:

Conduct legal research and court practice review.

Experience of working with LMA/APLMA documentation and cross-border SPAs and Shareholders Agreements.

Liaise with government authorities on preparing and preparing and submitting applications, obtaining feedback and similar matters

Prepare draft documents and legal advice under supervision of the senior members of the team

Support team business development work, by providing support in producing drafts of marketing materials, proposals, legal updates, articles and presentations.

Assist team in development of know how documents and standard forms.

Lawyer fully qualified in Vietnam, with 4 to 6 years of professional experience, fluent in English

Experience of working with LMA/APLMA documentation and cross-border SPAs and Shareholders Agreements would be very useful.

Preferable to have prior work experience in an advisory firm or in-house on cross-border transactions

Experience of liaison with government authorities on preparing and preparing and submitting applications, obtaining feedback and similar matters.

Good knowledge of Vietnam laws in the following areas: corporate, foreign investments, cross-border loans and security, land and energy sector regulations.
