Legal Counsel

Key Responsibilities:

Drafting and reviewing commercial contracts, including procurement, logistics, lease, engineering, construction works as well as fit-out works contracts, etc. to ensure legal sufficiency, risk mitigation, and alignment with operational requirements.

Ensuring Regulatory compliance, licensing, and internal control oversight, including:

(i) Updating and ensuring ongoing compliance with Vietnamese laws and regulations;

(ii) Reviewing and maintaining validity of licenses/permits (including for EPE operations);

(iii) Monitoring compliance risks and recommending corrective actions.

Provision of legal support relating to the operations of a company with EPE (Export Processing Enterprise) status.

Provision of legal support on employment-related matters and assisting with compliance in labor documentation and practices.

Coordination with external legal advisors when necessary.

Handling interactions with Vietnamese government authorities on licensing, regulatory, tax, and customs matters.

Requirements:

Law degree from a recognized university (Vietnam or abroad).

Minimum 5 years of legal experience, preferably in-house with foreign-invested enterprises.

Strong experience in drafting and reviewing a wide range of commercial contracts, with the ability to identify legal risks, propose practical solutions, and ensure contract terms align with business objectives.

Experience in regulatory compliance, including licensing management, internal compliance controls, and monitoring legal/regulatory updates relevant to business operations.

Hands-on experience working with EPE companies.

Solid understanding of Vietnamese corporate, commercial, investment, and labor laws.

Proficient in English and Vietnamese (written and spoken).

Business-oriented and focused-on-details approach to legal work.

Preferred Qualifications:

Experience in manufacturing companies with production-related legal matters.

Experience in customs procedures for tolling services.

Experience in European or International companies.

Experience in Electronics Field
