Legal Manager - Trưởng phòng Pháp chế

1. Legal Internal Check & Compliance Control

- Review and control all legal documents, licenses, permits, approvals, and business-related papers of the company.

- Provide legal advice for business operations, expansion plans, leasing activities, and new commercial projects.

- Develop, update, and monitor internal compliance policies to ensure alignment with legal regulations and corporate standards.

- Oversee retail-related compliance matters, including promotion registration, advertising, in-store events, construction/renovation permits, food safety, and fire safety procedures.

2. Legal Affairs & Corporate Compliance

- Review and finalize contracts, agreements, and legal documents across multiple categories, including leasing, service vendors, construction and renovation, events, marketing, and procurement.

- Provide accurate and timely legal advice to internal departments regarding contract terms, commercial negotiations, partnerships, import/export matters, and corporate structure.

- Interpret legal requirements, compliance obligations, and contractual risks for relevant teams.

- Work directly with government authorities, external legal counsels, and stakeholders during inspections, audits, and regulatory reviews.

- Handle customer complaints and tenant disputes involving legal assessment.

- Conduct internal compliance audits and monitor corrective actions.

- Deliver legal and compliance training to internal teams.

3. Corporate Governance & Risk Management

- Build and maintain a corporate governance framework to ensure transparency, accountability, and alignment with company strategy.

- Identify, assess, and report legal, operational, contractual, and regulatory risks affecting business operations.

- Advise management on risk mitigation strategies and preventive solutions.

- Support the handling of risk-related incidents at stores, including customer accidents, contractor violations, property damage, and service provider issues.

- Provide legal guidance for corporate governance activities, board decisions, and strategic projects.

4. Other Duties

- Perform other legal or business-support tasks as assigned by Management.

1. Education

- Bachelor’s degree or higher in Law. A Lawyer’s License is preferred.

- Solid knowledge of Vietnamese Civil Law, Labor Law, Commercial Law, Investment Law, and retail-related regulations.

2. Experience

- Minimum of 8–10 years of legal experience, including at least 3 years in a managerial role.

- Experience in Retail, Shopping Mall, FMCG, Real Estate, or international companies is strongly preferred.

- Hands-on experience in contract management, licensing, corporate compliance, and dispute resolution.

- Experience working with government authorities and inspection teams (e.g., Department of Industry and Trade, Fire Police, Market Surveillance, Health Department).

3. Skills

- Strong legal analysis, problem-solving, and risk assessment skills.

- Excellent contract drafting, negotiation, and communication skills.

- Ability to work cross-functionally with other departments.

- Ability to handle high-pressure situations, urgent legal matters, and on-site incidents.

- Proficiency in English for business and legal contexts. Korean is a plus.
