Role Overview

As a Senior Legal Counsel, you will be a trusted strategic advisor, ensuring all business and investment activities comply fully with applicable laws and regulations. You will collaborate closely with senior leadership, providing insightful legal guidance to support critical decisions and effectively mitigate risks in large-scale infrastructure and corporate projects.

Key Responsibilities

• Legal Advisory, Deliver timely, practical, and business-focused legal counsel to executive leadership and various departments on matters related to investment, construction, operations, human resources, and compliance.

• Contract & Document Management, Draft, review, and negotiate complex contracts—including EPC and PPP agreements and bilingual documents—as well as internal regulations and other legal documentation.

• Regulatory Monitoring & Training, Stay abreast of relevant legal developments; analyze and communicate updates to internal stakeholders; conduct legal training sessions to enhance compliance awareness.

• Licensing & Legal Procedures, Manage licensing, regulatory approvals, and legal documentation concerning corporate operations, investment projects, land use, construction, and environmental compliance.

• Compliance Oversight, Develop and implement a robust compliance control framework across business units; conduct legal audits and internal compliance reviews.

• Dispute Resolution, Lead or assist in resolving legal disputes, claims, inspections, audits, and interactions with government authorities.

• Legal Strategy, Contribute to the development of legal strategies that support sustainable business growth and effective risk management.

Education

• Bachelor’s degree or higher in Law, preferably specializing in Economic Law, Commercial Law, Investment Law, or Civil Law.

• Advanced degrees (LL.M., Master of Laws) and/or a Lawyer’s Professional Certificate are highly preferred.

Experience

• 7–10 years of progressive legal experience within corporate legal departments or reputable law firms.

• At least 3 years in a senior legal advisory or counsel role within a large corporation or legal consultancy.

• Experience in infrastructure, transportation, real estate, or energy sectors is strongly desirable.

Legal Expertise

• Comprehensive knowledge of Vietnamese laws on investment, construction, bidding, land use, environment, and enterprise operations.

• Familiarity with PPP and EPC project frameworks and regulations.

• Proven experience handling government relations, dispute resolution, audits, and compliance enforcement.

Key Skills

• Strong analytical and risk assessment capabilities tailored to large-scale investment and construction projects.

• Excellent contract drafting, negotiation, and review skills, including bilingual contracts.

• Strategic legal thinker capable of supporting executive decision-making.

• Effective collaborator across departments such as Project Management, Finance, Procurement, and Technical teams.

• Skilled in developing legal policies, compliance procedures, and corporate governance frameworks.

• Proficient in legal English, particularly for drafting and negotiating international agreements.
