Senior Officer, Legal & Compliance

POSITION PURPOSE

To support the legal and compliance functions by providing legal research and opinion, drafting, contract review, and regulatory compliance support. The Senior Officer will take on more complex assignments, assist in risk assessments, and act as a key point of contact for internal departments on legal and compliance matters.

AREAS OF RESPONSIBILITY

Legal

• Draft, review, and revise contracts, MOUs, and other legal documents to ensure compliance with applicable laws and BUV internal policies.

• Conduct legal research and provide summaries and recommendations on relevant laws and regulations.

• Assist in preparing and managing legal matters related to corporate governance, licensing, and regulatory filings & administration works.

• Coordinate with external legal counsel for specific legal issues or litigation support when required.

• Support the Senior Manager in legal due diligence, particularly in investment or M&A projects.

• Other tasks assigned by the direct report.

Compliance

• Monitor regulatory changes and ensure the company’s policies and procedures remain compliant with applicable laws and industry standards.

• Support the implementation of compliance programs (e.g. anti-bribery, whistleblowing, data privacy).

• Conduct compliance checks and support internal audits, reporting findings and assisting with corrective actions.

• Prepare compliance training materials and participate in staff training sessions.

• Prepare draft reports on investment, on investment project assessment, MOET reports and other reports in accordance with Vietnamese regulations.

• Other tasks assigned by the direct report.

Coordination and Reporting

• Serve as a liaison between the Legal & Compliance department and other business units to ensure legal and regulatory compliance in day-to-day operations.

• Prepare reports, presentations, and updates on legal and compliance matters to management.

• Support the development and maintenance of the company’s legal and compliance documentation systems.

• Other tasks assigned by the direct report.

POSITION SPECIFICATIONS

COMPETENCIES (knowledge, skills, and abilities)

• Strong knowledge of contract law, corporate law, and compliance frameworks.

• Excellent legal drafting, analytical, and problem-solving skills.

• Good communication skills in English and Vietnamese (or other relevant languages).

• High attention to detail and the ability to manage multiple priorities.

• Strong sense of ethics and confidentiality.

Essential

• Bachelor’s degree in Law (mandatory); legal practice certificate or additional compliance certification is a plus.

• Minimum 2–3 years of relevant experience in legal and/or compliance roles.

• Prior experience in a regulated industry or multinational company is preferred.

• Good English and Vietnameses verbal and written communication skills

Desirable

• Legal practice certificate or additional compliance certification is a plus.

• Master degree in law.
